Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of goteachersbuddy.com and the Teacher's Buddy platform (collectively, the "Service") operated by Teacher's Buddy, Inc. ("the Company," "we," "us," or "our"), a Texas corporation located at 1601 S Congress Avenue, Suite 200, Austin, TX 78704. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service is an AI-assisted lesson planning and educator administration tool. These Terms cover individual teacher accounts, school-tier accounts administered by school staff, and free-plan usage. Where a separate school or district agreement is in place, that agreement governs to the extent it conflicts with these Terms.

2. Use of the Service

  • You must be at least 18 years old to create an account and use the Service. The Service is not intended for direct use by students.
  • You agree to use the Service only for lawful purposes and consistent with these Terms. You may not use the Service to generate content that violates applicable law or that infringes the rights of others.
  • You may not attempt to reverse-engineer, decompile, or copy the Service's generation models or infrastructure, except as expressly permitted by applicable law.
  • You may not resell, sublicense, or redistribute the Service or its outputs as a standalone product without written permission from the Company.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Intellectual Property

The Service, including all underlying software, models, templates, and the Teacher's Buddy name and logo, is owned by the Company or its licensors and is protected by U.S. and international intellectual property laws. The Company grants you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose during the term of your subscription or free-plan access.

Lesson plan outputs and document drafts generated through the Service at your direction belong to you. The Company retains no ownership claim over the specific instructional content you produce using the Service.

4. Your Content and Educational Data

You are responsible for the content you submit to the Service, including curriculum parameters, instructional notes, and any text you paste into generation prompts. You represent that you have all necessary rights to submit such content.

You grant the Company a limited license to use, store, and process your submitted content solely as necessary to operate the Service and return generated outputs to you. The Company does not use your instructional inputs or generated outputs to train AI models without your explicit written consent. This commitment is architectural: your content is not routed to model training pipelines.

Teacher's Buddy is designed so that generating lesson plans and documents does not require entry of student names, student IDs, or other individually identifying student information. If you choose to include such information in a parent communication draft or similar output, you do so voluntarily and you are responsible for handling that content in accordance with applicable school privacy policies and laws, including FERPA.

5. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-generated lesson plans and documents are drafts intended to support your professional judgment, not to replace it. You are responsible for reviewing, adapting, and approving all content before use in your classroom or school.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages; in those jurisdictions, the Company's liability will be limited to the maximum extent permitted by law.

7. Indemnification

You agree to defend, indemnify, and hold harmless the Company from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right, including any school or district data-handling policy applicable to your use.

8. Termination

The Company may suspend or terminate your access to the Service at any time, with or without notice, for any reason including violation of these Terms or non-payment. Sections that by their nature should survive termination will survive, including Sections 3, 4, 5, 6, 7, 9, and 10.

You may cancel your account at any time through your account settings. Upon cancellation, your saved data will be retained for 90 days as described in our Privacy Policy, then permanently deleted.

9. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles.

Informal Resolution. Before filing any claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 60 days.

Arbitration. Any dispute that cannot be resolved informally will be settled by binding arbitration administered in Texas, USA under the rules of the American Arbitration Association ("AAA"). Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. You and the Company each waive the right to a jury trial and the right to participate in a class action.

Exception. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction located in Texas, USA for matters involving intellectual property infringement or unauthorized access to the Service.

10. Changes to These Terms

The Company may update these Terms from time to time. Material changes will be posted with a new "Last updated" date. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of those Terms.
